These Terms of Service ("Terms") govern your access to and use of the websites, applications, and paid subscription plugins provided by Symbiotic AI LLC ("Symbiotic AI", "we", "us"), Orlando, Florida, USA. By creating an account or purchasing a subscription, you agree to these Terms.
1. The service
Symbiotic AI publishes Cilia, an open-source (Apache-2.0) AI agent orchestration platform, a free mobile application, and paid proprietary plugins offered as flat-rate subscriptions ("Paid Plugins"). The open-source components are governed by their own license (Apache-2.0); these Terms govern the website, your account, and Paid Plugins.
2. Accounts
You must provide a valid email address and are responsible for activity under your account. You must be of legal age to form a binding contract.
3. Subscriptions, billing, and Merchant of Record
- Paid Plugins are sold as recurring monthly subscriptions at a flat fee. Subscriptions renew automatically until cancelled.
- Payments are processed by Paddle.com Market Limited ("Paddle"), our authorized reseller and Merchant of Record. Paddle handles payment, billing, invoicing, and applicable taxes. Your purchase is also subject to Paddle's Buyer Terms (https://www.paddle.com/legal/checkout-buyer-terms).
- We do not meter, resell, or charge for AI-provider usage. You supply and pay for your own AI-provider API keys directly with those providers. Your subscription fee is solely for the Paid Plugin software.
4. Cancellation
You may cancel at any time via the billing portal. On cancellation, your subscription remains active through the end of the current paid period; license entitlements then expire automatically. See our Refund Policy (/refunds).
5. Licenses and entitlement
Active subscriptions grant a cryptographically signed, time-limited license to use the corresponding Paid Plugin. Licenses are validated on your own device and are tied to your account; you may not share, resell, or circumvent them.
6. Acceptable use
You agree not to: misuse or attempt to bypass licensing or payment; reverse-engineer Paid Plugin binaries except as permitted by law; use the service unlawfully or to infringe others' rights. The open-source components remain usable under Apache-2.0 regardless.
7. Your data and AI providers
You direct your own AI agents using your own provider credentials. We do not receive your provider API keys or your AI prompts/outputs in the course of providing Paid Plugins. See our Privacy Policy (/privacy).
8. Intellectual property
Cilia core is licensed under Apache-2.0. Paid Plugins and the Symbiotic AI name, marks, and site content are the property of Symbiotic AI LLC and licensed, not sold, to you for the subscription term.
9. Warranty disclaimer
The service is provided "as is" and "as available," without warranties of any kind to the maximum extent permitted by law.
10. Limitation of liability
To the maximum extent permitted by law, Symbiotic AI's aggregate liability arising from the service is limited to the amounts you paid in the «12» months preceding the claim. We are not liable for indirect, incidental, or consequential damages.
11. Changes
We may update these Terms; material changes will be posted here with a revised date. Continued use after changes constitutes acceptance.
12. Governing law
These Terms are governed by the laws of the State of Florida, USA, without regard to conflict-of-laws rules. «Confirm venue/arbitration with counsel.»
